End User Licence Agreement

This EULA governs your use of the Sequence Tool® desktop application ("Software"). Use of our website and account services is governed by our Terms of Service.
1. Licence grant
Subject to your compliance with this EULA and any applicable purchase terms, Rock Stars Unlimited Ltd ("we", "us") grants you a limited, non-exclusive, non-transferable licence to install and use the Sequence Tool® software for use on the number of devices permitted by your licence, for your personal or internal business use.
2. Restrictions
You may not: (a) copy, modify, or create derivative works of the Software except as permitted by law; (b) reverse-engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law; (c) rent, lease, lend, sell, sublicense, or otherwise transfer the Software or your rights under this EULA; (d) remove or alter any proprietary notices on the Software; or (e) use the Software for any purpose that is illegal or in violation of any third-party rights. You may use the Software only in accordance with our Terms of Service and Privacy Policy.
3. Privacy and data
The Software may process personal data and may collect optional product analytics and error reporting where you have given consent, as described in our Privacy Policy. The Privacy Policy explains what we collect, why we collect it, and your choices. Please read it alongside this EULA.
4. Ownership
We (or our licensors) retain all right, title, and interest in and to the Software, including all copies. This EULA does not grant you any rights to our trademarks or trade names.
5. Updates and support
We may provide updates, patches, or new versions of the Software. Your use of updates may be subject to this EULA or updated terms we make available. We are not obligated to provide support, maintenance, or updates unless otherwise agreed.
6. Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Nothing in this section limits rights you may have as a consumer under applicable law.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE (AND OUR AFFILIATES AND LICENSORS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE OR THE MINIMUM AMOUNT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Nothing in this EULA limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8. Termination
Your rights under this EULA continue until they end. They end automatically if you breach this EULA. We may end this EULA if you fail to remedy a material breach within 14 days after we notify you (where a remedy is reasonable). We may also suspend or end your licence immediately if required by law, to protect our rights or those of others, or if you use the Software unlawfully or in serious breach (including circumventing licensing or device limits). Where we end this EULA other than for the reasons above, we will give you not less than 30 days' prior written notice. On termination, you must stop using the Software and delete all copies. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) survive.
9. Governing law
This EULA is governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. This does not affect any mandatory rights you may have under the laws of your country of residence.
10. Third-party and open-source components
The Software includes third-party and open-source components (for example libraries used for media processing). Required notices, attributions, and licence texts are included with the Software (for example in the application bundle or in-app legal notices) and may also be published on our website.
11. Export compliance
The Software may be subject to export control and sanctions laws. You agree not to export, re-export, transfer, or use the Software except in compliance with applicable law.
