By using Sequence Tool® (the "Service"), you agree to these terms.

1. Agreement

These Terms of Service ("Terms") are between you and Rock Stars Unlimited Ltd ("we", "us"). They apply to your use of the Sequence Tool® website, your account, and related online services we provide. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Use of the Service

We grant you a limited, non-exclusive, non-transferable licence to use Sequence Tool® online services and your account in accordance with these Terms and any applicable licence you have purchased. Use of the Sequence Tool® desktop application is additionally governed by our End User Licence Agreement. You may not reverse-engineer, decompile, or attempt to extract source code from the software except where permitted by law; sublicense or resell the Service; or use it for any illegal or unauthorised purpose. You are responsible for keeping your account credentials secure and for all activity under your account.

3. Account and payments

To access certain features you may need an account. You must provide accurate information. Payment terms (fees and refunds) are as stated at the point of purchase and in any separate licence terms. We may change pricing; we will notify you in advance. If you do not agree, you may stop using the Service before the change takes effect. Refunds are handled in accordance with our refund policy or as required by applicable law.

4. Your content and data

You retain ownership of any content or data you provide. You grant us a limited licence to store, process, and transmit your content solely to provide the Service. Our use of personal data is described in our Privacy Policy. You must not use the Service to process content or conduct activities that infringe others' rights or violate law.

5. Disclaimers

The Service is provided "as is". We disclaim all warranties to the fullest extent permitted by law (including implied warranties of merchantability and fitness for a particular purpose). We do not guarantee that the Service will be uninterrupted, error-free, or secure. You use it at your own risk.

Nothing in this section limits rights you may have as a consumer under applicable law.

Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 where you are a consumer in the United Kingdom.

6. Limitation of liability

To the maximum extent permitted by law, we (and our affiliates, directors, and employees) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claims relating to the Service shall not exceed the amount you paid us for the Service or the minimum amount permitted by applicable law. Some jurisdictions do not allow these limitations; in such cases our liability is limited to the greatest extent permitted by law.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

7. Termination

You may stop using the Service at any time. Your rights under these Terms end automatically if you materially breach them. We may end these Terms if you fail to remedy a material breach within 14 days after we notify you (where a remedy is reasonable). We may also suspend or end your access immediately if required by law, to protect our rights or those of others, or if you use the Service unlawfully or in serious breach. Where we end these Terms other than for the reasons above, we will give you not less than 30 days' prior written notice. On termination, your right to use the Service ends. Provisions that by their nature should survive (including disclaimers, limitation of liability, and governing law) survive.

8. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Where changes are material, we will notify you proactively (for example by email or in-app notice). Where the law requires your consent to a change, we will seek it before the change takes effect. If you do not agree to an update, you must stop using the Service before it applies to you.

9. General

Together with our End User Licence Agreement (for the desktop application), Privacy Policy, and Cookie Policy, these Terms constitute the entire agreement between you and us regarding the Service. If any part is held invalid, the rest remains in effect. Our failure to enforce a right does not waive it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. This does not affect any mandatory rights you may have under the laws of your country of residence.
